These terms govern your use of this website and, where no separate signed agreement exists, the engagement of services from SageGridLab, the trading name of Sage Alert LLC, registered in Sharjah Media City (SHAMS), United Arab Emirates.
We'll agree on scope and price before any work starts. You'll get a signed contract or statement of work for every project. These site-wide terms fill in the gaps that contract doesn't cover; where the two disagree, your signed contract wins.
Every project starts with a written proposal or statement of work covering deliverables, timeline, and price. Work outside that scope is billed separately, and we'll flag it before doing it, not after.
Projects are typically billed in milestones tied to project phases, as set out in your contract. Invoices are issued under the legal name Sage Alert LLC (trading as SageGridLab) and are payable within the term stated on the invoice, usually 7 to 14 days. Late payments may pause active work until the account is current.
You own the code, designs, and content we build for you once the related invoice is paid in full. Until then, deliverables remain our property. We retain the right to use general methods, frameworks, and non-confidential know-how developed during the engagement on future projects.
We don't share your business information, data, or project details with third parties beyond what's needed to deliver the work, unless you ask us to or the law requires it. A standalone NDA is available on request before any sensitive information changes hands.
Our liability for any claim arising from a project is capped at the fees paid for that specific engagement. We're not liable for indirect losses like lost profits or business interruption. Nothing here limits liability where the law doesn't allow it to be limited.
This site and its content belong to Sage Alert LLC. You can browse and reference it, but reproducing the design, copy, or case study content elsewhere without permission isn't allowed.
For engagements without a separate signed contract specifying otherwise, these terms are governed by the laws of the United Arab Emirates. Signed client agreements may specify a different governing law and dispute resolution process, and that contract controls for that engagement.
If a court or arbitrator finds one clause unenforceable, the rest of these terms stay in effect. We'll treat the unenforceable part as replaced by something that achieves the same intent, as closely as the law allows.
For any engagement, your signed contract or statement of work, together with these terms, makes up the entire agreement between us. Earlier emails, proposals, or conversations that aren't reflected in the signed contract don't carry separate weight.
We may update these terms as the business grows. The version posted here is the one in effect; we'll update the date at the top when it changes.
